Intermediaries
The term/title of intermediary/broker/agent carry negative connotation. The truth is however that if you are not the Principal or have a mandate to act, you are one of those generically known as an intermediary. All intermediaries are equal but some are more equal than others. Those closest to the Principal may have more influence on the deal but all parties connected are cogs in the wheel and help to bring about a successful conclusion to a deal.
The concerns of the intermediaries are mostly about being circumvented and getting paid their contribution of commissions from a successful deal. By bringing enquiries to TPN and putting the details in the data room, these concerns disappear.
All intermediaries linked to the contract are recorded in the data room. All information provided is held in the intermediaries file room and only a redacted version is viewable by other parties. All intermediaries expecting to receive a commission payment must be registered in this file room.

Commission Distribution.
The main reason that intermediaries carry a stigma is that too much wrangling takes place on the share of commission, he number of people laying claim to it and the view on who is justified to claim it. The only sensible way to deal with this, therefore is to establish the parameters for commission distribution at the beginning of the process.

The intermediaries are usually split into two groups, the seller side and the buyer side and the commission is split on a 50-50 basis. The seller side is usually closed, leaving half for the buyer side. This group usually splits into two with 50% going to the group next to the buyer and 50% going to the group next to the seller. Occasionally there will be three groups, a buyer side, seller side and intermediary (orphan) group. In such cases the commission distribution would be a three way split or (worst case) 40/40/20.

​Data File Security. The viewing and exchange of data and documents will be controlled in accordance with agreed protocols and level of authority given.
